By accessing or using the Animus Digital website subscription service ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you ("Client," "you") and Animus Digital LLC ("Company," "we," "us"), located at 12 N Cheyenne Ave, Tulsa, OK 74103.
2.1 Service Description: Animus Digital provides custom website design, development, hosting, maintenance, and ongoing optimization under a monthly subscription model. The scope of each subscription tier (Starter, Growth, Scale) is described on our pricing page at the time of enrollment.
2.2 Commitment Period: All subscriptions require a minimum 12-month commitment ("Commitment Period"). Monthly subscription fees are billed in advance on the same calendar day each month via Stripe.
2.3 After Commitment Period: Upon completion of the 12-month Commitment Period, you may: (a) continue your subscription on a month-to-month basis at the same rate; (b) receive your website source code and host it independently; or (c) request conversion of your site to Webflow for a one-time fee of $2,500.
2.4 Early Termination: If you cancel before the end of the Commitment Period, the remaining balance of monthly fees for the Commitment Period becomes immediately due and payable. This early termination fee compensates for the upfront design and development investment made by Animus Digital.
3.1 During Subscription: During an active subscription, Animus Digital retains ownership of all website code, design assets, and hosting infrastructure. You are granted a non-exclusive, non-transferable license to use and display the website for your business purposes.
3.2 Your Content: You retain ownership of all content you provide to us, including but not limited to text, images, logos, trademarks, and brand assets. You grant us a license to use this content solely for the purpose of providing the Service.
3.3 Post-Commitment Transfer: After completing the 12-month Commitment Period, you may request a full code export of your website. Upon transfer, you assume all responsibility for hosting, maintenance, and security.
3.4 Cancellation: After the Commitment Period, cancellation requires 60 days written notice to office@animusdigital.co. Upon cancellation, your website will be taken offline within 60 days of the effective cancellation date unless a code transfer has been arranged. During the notice period, your subscription remains active and all services continue.
4.1 Unlimited Revision Requests: All subscription tiers include unlimited revision requests per month. Revisions are changes to existing website content, layout, or design elements. Revision requests are submitted through the client portal, email, or phone.
4.2 Turnaround: We aim to complete revision requests within 1–2 business days. Complex requests (e.g., new page designs, major layout changes) may require additional time and will be communicated. Requests are processed in the order received.
4.3 Scope of Revisions: A single revision request constitutes one discrete change (e.g., update text, swap an image, adjust a color). Requests involving multiple changes or new page creation may count as multiple revisions. We will communicate if a request exceeds a single revision. New pages are available at a flat per-page fee.
4.4 Support: All tiers include direct access to your project team via phone, email, and client portal. Support includes strategic consultation, analytics review, and technical assistance. Monthly support time varies by tier as described on the pricing page.
5.1 Billing: Subscription fees are billed monthly in advance via Stripe. You authorize us to charge your payment method on file for recurring subscription fees.
5.2 Price Changes: We may adjust subscription pricing with 30 days written notice. Price changes apply at the next billing cycle following the notice period. You may cancel before the new pricing takes effect.
5.3 Failed Payments: If a payment fails, we will attempt to charge your payment method up to 3 times over 10 days. If payment cannot be collected, we may suspend your website until the balance is resolved.
5.4 Refunds: Subscription fees are non-refundable. If you cancel mid-cycle, you retain access through the end of the current billing period.
6.1 90-Day Guarantee: We guarantee that your website will achieve a Google PageSpeed score of 90+ (mobile and desktop) and pass our 44-point quality audit at launch. If these benchmarks are not met within 90 days of launch, we will rebuild your site at no additional cost.
6.2 Limitations: The performance guarantee does not cover issues caused by third-party integrations, client-provided content or code, DNS propagation, or factors outside our control. The guarantee applies to the initial build and does not extend to subsequent revision requests.
7.1 Hosting: Website hosting is included in all subscription tiers. We use enterprise-grade hosting infrastructure with SSL certificates, automated backups, and CDN distribution.
7.2 Uptime: We target 99.9% uptime. Scheduled maintenance windows will be communicated in advance. We are not liable for downtime caused by hosting provider outages, DDoS attacks, or force majeure events.
8.1 Included Maintenance: Throughout your active subscription, Animus Digital is responsible for the ongoing maintenance, security, and performance of your website. This includes:
8.2 Monthly Optimization: We proactively review your site each month to identify and implement performance improvements, SEO adjustments, and content freshness updates. You will receive a monthly report summarizing traffic, conversions, and any changes made.
8.3 Content Updates: Content changes, text updates, image swaps, and layout adjustments are handled through your revision requests. We do not modify your site content without your explicit request or approval, except where necessary for security or compliance purposes.
8.4 Your Responsibility: You are responsible for providing accurate and up-to-date business information (hours, contact details, service descriptions). We are not liable for business losses resulting from outdated content that you did not request us to update.
9.1 Third-Party Services: Your website may integrate with or depend on third-party services, platforms, and tools including but not limited to: hosting providers (Netlify, Cloudflare), payment processors (Stripe), analytics platforms (Google Analytics, Google Search Console), CMS platforms, email services, scheduling tools (Calendly), social media platforms, and domain registrars. These third-party services are governed by their own terms and privacy policies.
9.2 Tool Availability: Animus Digital does not guarantee the continuous availability, accuracy, or performance of any third-party tool or service. Third-party services may experience outages, API changes, deprecations, pricing changes, or discontinuation at any time without notice from us. We are not responsible for disruptions, data loss, or functionality changes caused by third-party service modifications.
9.3 Reasonable Efforts: In the event of a third-party tool malfunction, deprecation, or discontinuation, Animus Digital will use commercially reasonable efforts to: (a) identify and communicate the issue to you promptly; (b) implement an alternative solution or workaround where feasible; and (c) restore affected functionality within a reasonable timeframe. Additional fees may apply if a replacement integration requires significant development work beyond the scope of your plan.
9.4 No Warranty on Third-Party Tools: We make no warranties, express or implied, regarding the performance, reliability, security, or suitability of any third-party tool integrated with your website. This includes but is not limited to: uptime guarantees of third-party APIs, accuracy of analytics data, deliverability of third-party email services, and availability of third-party scheduling or payment platforms.
9.5 Client-Requested Integrations: If you request integration with a specific third-party tool, you accept responsibility for: (a) maintaining any required API keys, accounts, or subscriptions with that provider; (b) understanding that the integration depends on the third party's continued service and API compatibility; and (c) any costs associated with the third-party service.
9.6 Force Majeure: Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemics, war, terrorism, government actions, power failures, internet outages, third-party service failures, cyberattacks, or other events beyond reasonable anticipation or control.
8.1 Consent to Contact: By creating an account, you expressly consent to receive communications from Animus Digital via email, phone calls, and text messages (SMS) at the contact information you provide. These communications may include:
8.2 Message Frequency & Rates: Message frequency varies based on your project activity and account status. Standard message and data rates may apply to text messages. You are responsible for any charges from your carrier.
8.3 Opt-Out: You may opt out of promotional emails by clicking "unsubscribe" in any email. You may opt out of text messages by replying STOP to any message. You may opt out of phone calls by emailing office@animusdigital.co. Service-related communications necessary for the provision of your subscription cannot be opted out of while maintaining an active account.
8.4 Not a Condition of Purchase: Consent to receive promotional communications is not a condition of purchasing or maintaining your subscription. However, you acknowledge that certain service-related communications are necessary for us to fulfill our obligations under this agreement.
To the maximum extent permitted by law, Animus Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill, arising from or related to your use of the Service.
Our total liability for any claim arising from the Service shall not exceed the total fees paid by you in the 12 months preceding the claim.
You agree to indemnify and hold harmless Animus Digital, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from: (a) your use of the Service; (b) your breach of these Terms; (c) content you provide; or (d) your violation of any third-party rights.
We may suspend or terminate your access to the Service immediately if you: (a) breach these Terms; (b) fail to pay fees when due; (c) engage in conduct that is harmful to our business or other clients; or (d) use the Service for illegal purposes.
Upon termination for cause, no refund of prepaid fees will be issued. The early termination fee (Section 2.4) applies if within the Commitment Period.
These Terms are governed by the laws of the State of Oklahoma. Any disputes shall be resolved through binding arbitration in Tulsa, Oklahoma, under the rules of the American Arbitration Association. You waive the right to participate in class action lawsuits or class-wide arbitration.
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the client portal with at least 30 days notice. Continued use of the Service after modifications take effect constitutes acceptance of the updated Terms.
